TERMS OF USE A. GENERAL TERMS I. Introduction: We welcome you to the Poorag App/website (“App/Site”). The App/Site is an online platform aimed at facilitating and enhancing the real estate business online II. Definitions: “Service Partners” means and refers to Promoters/Developers/Builders/Real Estate Agents who are Users of the App/Site as well.“Terms and Conditions” mean and refer to these Terms of Use along with the Privacy Policy and Disclaimer. “We/Us” means and refers to us at Poorag.“Users/You/Your” means and refers to individuals, firm and companies who avail Services on the App/Site. III. Willingness to comply: Users accord your willingness to comply with these Terms and Conditions during your use of the App/Site. You shall not avail the Services on the App/Site if you are not willing to so act in compliance with these Terms and Conditions. IV. Binding Contract: Users agree and acknowledge that these Terms and Conditions constitute an online contract by which you are bound. Therefore, only individuals, firms and companies who are capable of executing contracts as per the Indian Contract Act shall access the App/Site, and avail Services on the same V. Registration on the App/Site: Users shall obtain registrations on the App/Site by furnishing particulars, specifically, names, addresses, email ids, contact numbers and property preferences. Such information provided by Users will be protected by us as detailed in the Privacy Policy. The User Accounts created on registration are safeguarded with passwords for complete protection, and prevention of interventions by third parties. Users are responsible to ensure that your accounts are not unauthorizedly used by third parties. Users are required to pay a fee for subscription as per the payment policies VI. Use of the App/Site: The App/Site and the Services on the same should not be used for any unlawful purpose. Users are solely responsible to ensure that your use of the App/Site is in compliance with the applicable laws and regulations. VII. Intermediaries: We act only as an intermediary to facilitate real estate business online. We display property listings on the App/Site on an “as is” and “as available” basis as provided by Service Partners. We assume no responsibility for the details provided in the same. We do not endorse or recommend the listings provided by any particular Service Partner. Users are solely responsible to ensure that the same meet with your requirements, and are accurate. VIII. Obligations of Service Partners: Service Partners shall comply with the applicable laws and regulations while posting Property listings/Classifieds on the App/Site. We assume no responsibility for the completeness, genuineness and credibility of the information on the same. IX. Deletion of Classifieds/Listings: We are entitled to delete any Classified/Listing if it infringes the intellectual property rights of any third party. X. Bipartite Transactions: Users accept and understand that the transactions are only between themselves, and we assume no legal/non- legal liability for the same. XI. Communication with Users: We shall communicate with Users through emails/calls/messages. You accord your consent to receive the same anytime during business hours. XII. Intellectual Property Rights: Users are fully aware of the fact that we have obtained all due statutory registrations for our intellectual properties, and we are entitled to absolute ownership of the same. Neither part nor whole of the matter on the Site shall be copied/duplicated/used unauthorizedly by Users for any reason whatsoever. XIII. Indemnification: Users shall indemnify and hold us harmless for any loss caused to us as a result of your violation of these Terms and Conditions. XIV. Disputes between Users: We may monitor disputes arising between Users at our discretion, and bring the same to an amicable settlement. However, we are not obliged to do so. XV. Amendments: Users agree and acknowledge that these Terms and Conditions are subject to periodic amendments. We assume no responsibility to notify you of such amendments. XVI. Governing Law: These Terms and Conditions and any dispute arising from the use of the App/Site are governed by the laws of India. These Terms and Conditions contain the entire agreement between us and Users in relation to the use of the App/Site. If any provision of these are invalid, the remaining Terms shall continue in full force and effect. PRIVACY POLICY I. INTRODUCTION: We collect information from Users (“User Information”) in order to enable us to provide Services on the App/Site as requested. We value the privacy of Users, and adopt all plausible measures to protect the same. However, we shall not be held liable for inadvertent disclosures as a result of User Information being shared online. II. SCOPE: This Policy protects only User Information shared on the App/Site. It does not regulate sharing of Information on third party sites on the App/Site, which will be governed by separate Policies. III. INFORMATION COLLECTED: We collect Personal Information of Users including names, addresses, contact numbers, email addresses and property requirements of Users. Collection of User Information is to enable us to provide enhanced Services to Users based on your requirements and preferences. Users are at liberty to refrain from providing User Information to us. However, this may prevent you from availing a Service on the App/Site for which User Information is a requisite. IV. DISCLOSURE OF USER INFORMATION: We may share User Information with our ventures and third- party advertising agencies in relation to the Services provided on the App/Site. V. EXCEPTIONS TO DISCLOSURE OF INFORMATION: We shall not use User Information for commercial purposes. However, we may do so on obtaining a prior written confirmation from Users.VI. SHARING OF USER INFORMATION BY OTHER USERS: Users agree and acknowledge that we have no control over the data usage practices of other Users of the App/Site. You agree to be prone to this risk. VII. UPDATION OF USER INFORMATION: Users may update the User Information provided on a written request to this effect. We shall not be responsible if any of our communications do not reach Users due to a change in your contact information not being intimated to us. VIII. PERPETUAL PROTECTION: User Information shall be protected as stated in this Policy even after termination of User accounts. IX. LINKS TO THIRD- PARTY SITES: The App/Site contains links to third party sites. We assume no responsibility for User Information shared on these sites. Users shall do so at your sole risk. DISCLAIMER STATEMENT (i) Users agree and acknowledge that Poorag is only a platform on which Property listings are easily available and accessible for your convenience. (ii) Users also agree and acknowledge that Poorag assumes no responsibility for the dealings and correspondences between Users and Service Partners.(iii) Users further agree and acknowledge that Poorag is, in no way, responsible for the authenticity of the information on the App/Site.(iv) Users further agree and acknowledge that Poorag does not assume responsibility to verify the correctness of the responses in relation to the matter on the App/Site.(v)Users further agree and acknowledge that Poorag assumes no liability for the quality and authenticity of the details of the properties shown on the App/Site.(vi) Users further agree and acknowledge that the values of the properties displayed on the App/Site are subject to change. Poorag assumes no responsibility to intimate Users of such changes.(vii)Users further agree and acknowledge that you are solely responsible to carry out appropriate background checks prior to making investments in any of the properties shown on the App/Site.(viii)Users further agree and acknowledge that Poorag is not liable for inadvertent interruptions caused to the accessibility of the App/Site.(ix) Users further agree and acknowledge that you are solely responsible to ensure compliance with all relevant laws and regulations in relation to the use of the Services on the App/Site. Poorag will not be liable for non- compliance with the same by Users in any event.(x) Users further agree and acknowledge that Poorag does not provide any warranty against the infringement of any third party intellectual property or proprietary rights.(xi)Users further agree and acknowledge that your accounts created on registration may be deleted by Poorag without prior notice to you due to non- compliance with the Terms and Conditions. We assume no liability for any loss caused due to such immediate deletion of accounts and suspension of Services. (xii) The App/Site contains third party links. Users assume responsibility for access to these links, which are governed by different policies. Users agree and acknowledge that Poorag accepts no responsibility for any loss caused to Users as a result of reliance on information on these links USERS SHALL USE THIS APP/SITE SOLELY FOR INFORMATIONAL PURPOSES. NOTHING CONTAINED HEREIN SHALL BE CONSTRUED TO BE LEGAL/INVESTMENT ADVICE AND/OR RECOMMENDATION TO APPROACH ANY SERVICE PARTNER.
